BAKE FRIEND LTD
TERMS OF SERVICE & END USER LICENCE AGREEMENT (EULA)
Effective Date: 14 February 2026
Bake Friend Ltd (Company No. 14839711), Suite Ra01, 195–197 Wood Street, London, England, E17 3NU (“Bake Friend”, “we”, “us”, “our”) operates the Bake Friend mobile application and related services (the “App” and the “Service”).
By downloading, installing, accessing or using the App, you agree to be legally bound by these Terms.
If you do not agree, you must not use the App.
1. Definitions
“User” means any individual who creates an account on the App.
A User may act as a Buyer, a Seller, or both.
“Buyer” means a User purchasing food through the App.
“Seller” means a User listing or selling food through the App.
Where obligations relate to selling food, they apply to a User when acting as a Seller.
2. Nature of the Platform
Bake Friend is a neutral digital marketplace that enables Users to connect for the sale and purchase of home-prepared food.
Bake Friend:

Is not a food business operator
-
Does not prepare, cook, handle, store or deliver food
-
Does not inspect kitchens
-
Does not supervise Users
-
Does not take title to food
-
Is not a restaurant
All food transactions form a direct contract between Users.
Bake Friend acts solely as:

A technology service provider
-
A marketplace intermediary
-
A payment stakeholder
Nothing in these Terms creates any partnership, employment, agency or joint venture.
3. App Availability & Technical Requirements
The App is currently available in:
Austria, Belgium, Bulgaria, Canada, Croatia, Cyprus, Czechia, Denmark, Estonia, Finland, France, Germany, Gibraltar*, Greece, Hungary, Ireland, Italy, Latvia, Liechtenstein*, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, Switzerland, United Kingdom, United States
(*Google Play Store only)
Minimum system requirements:

Android 14 or above

iOS 17 or above
We may modify availability at any time.
We do not guarantee uninterrupted or error-free access.
4. Food Law Compliance
Where a User lists or sells food, that User is solely responsible for complying with all applicable laws in their jurisdiction, including but not limited to:
UK food safety and hygiene laws
EU food regulations
US federal and state cottage food laws
Canadian federal and provincial food laws
Bake Friend does not verify compliance with any food legislation.
5. Allergy, Hygiene & Dietary Disclaimer
Food sold via the App is prepared by independent Users in private or independent kitchens.
Bake Friend does not verify:

Ingredient accuracy
-
Allergen controls
-
Cross-contamination practices
-
Hygiene standards
-
Food storage conditions
Dietary labels (including but not limited to halal, vegan, vegetarian, gluten-free, allergen-free, dairy-free, nut-free) are provided by Users acting as Sellers for guidance purposes only.
Bake Friend does not guarantee the accuracy of dietary labels.
A Buyer expressly acknowledges and agrees that:

Food is purchased and consumed entirely at the Buyer’s own risk.

Cross-contamination may occur.
-
Ingredient information may be incomplete or inaccurate.
-
Users acting as Sellers may not be trained professionals.
Bake Friend shall not be liable for:
-
Allergic reactions
-
Food poisoning
-
Illness
-
Injury
-
Death
-
Property damage
-
Economic loss
Nothing in these Terms excludes liability where such exclusion is prohibited by law.
6. Hygiene Certificates (Optional Upload Feature)
Users acting as Sellers may upload hygiene certificates or regulatory documentation.
Bake Friend:

Does not verify authenticity or validity;
-
Does not endorse any User;
-
Makes no representation that documentation is genuine, accurate or current.
Buyers must not rely on uploaded documentation when making purchasing decisions.
Uploading false or misleading documentation may result in termination and reporting to authorities.
7. User Warranties (When Acting as Seller)
Where a User lists or sells food, that User warrants that:

They are legally permitted to sell food.

They comply with all applicable food safety laws.
-
Ingredient and allergen information is accurate to the best of their knowledge.
-
Food is fit for human consumption.
-
Any uploaded documentation is genuine and up to date.
Each User agrees to indemnify and hold harmless Bake Friend from any claim arising out of:

Food preparation or sale
-
Allergen misrepresentation
-
Regulatory breach
-
Personal injury or illness
-
Misleading statements
8. Payments & Fees
Payments are processed via Stripe Connected Accounts.
By creating an account, Users agree to Stripe’s Terms and verification requirements.
Bake Friend acts as stakeholder only and is not a bank.
Processing Fee:
Greater of £1 GBP (or local equivalent) OR 10% of order total.
We may modify fees at any time.
Funds may be held for up to 21 business days.
Refunds outside permitted cancellation do not include processing fees.
Stripe may retain non-refundable fees on refunded transactions.
Minimum Payout Threshold
Payouts to Sellers are processed via Stripe and are subject to Stripe’s terms and operational requirements.
Stripe will only process payouts to a Seller’s nominated bank account once the Seller’s available balance exceeds £1 GBP (or the equivalent minimum amount in the Seller’s local currency).
Where the available balance is below £1 GBP (or local equivalent), funds will remain in the Seller’s Stripe balance until the minimum threshold is reached.
Bake Friend is not responsible for:

Delays caused by Stripe;
-
Currency conversion fluctuations;
-
Bank processing delays;
-
Stripe reserve holds or compliance reviews.
All payouts are subject to Stripe’s verification, compliance checks, and account status requirements.
9. Order Status & Cancellation
Buyers may cancel only when order status is “Pending”.
Once marked “In Progress”, cancellation is not permitted.
Orders not accepted or not fulfilled will be fully refunded.
Orders not fulfilled within the specified timeframe may be automatically cancelled.
10. QR Code Requirement
Buyers must ensure the QR code is scanned upon order collection.
Failure to scan may affect payment release and dispute resolution.
11. Delivery Restrictions
Permitted delivery methods:

Buyer collection from Seller’s registered address
-
Direct delivery by the User acting as Seller
Third-party delivery services are strictly prohibited unless expressly authorised.
12. Promotions, Rewards & Discount Codes
Bake Friend may, at its sole discretion, offer promotional campaigns, rewards schemes, discount codes or loyalty programmes (together, “Promotions”).
All Promotions are provided at the discretion of Bake Friend and may be modified, suspended or withdrawn at any time without prior notice.
12.1 Free Item Promotion
Where applicable:

The “Free Item” reward applies only to items under £10 (or local equivalent).
-
The lowest priced eligible item in the order will be free.
-
The cost of the Free Item is covered by Bake Friend.
-
The Free Item promotion cannot be combined with loyalty points or discount codes.
-
The Free Item promotion may be withdrawn or amended at any time.
12.2 Discount Codes
Discount codes:
-
May be issued at Bake Friend’s discretion.
-
Are subject to expiry dates.
-
May be capped (for example, up to £20 per order).
-
Cannot be redeemed for cash.
-
Cannot be combined with certain other promotions.
-
May be withdrawn or disabled at any time.
Bake Friend reserves the right to cancel or refuse discount codes where misuse, fraud or breach of these Terms is suspected.
12.3 Rewards Card & Loyalty Points
Bake Friend may operate a rewards or loyalty points scheme (“Rewards Programme”).
The following conditions apply:

Participation in the Rewards Programme is optional and may be turned off by Bake Friend at any time.

Points have no cash value and cannot be exchanged for cash.
-
The value, conversion rate and redemption mechanism of points are determined solely by Bake Friend.
-
Points are capped at a maximum balance of 10,000 points per User account.
-
Points cannot be applied to:
-
Free Item orders;
-
Orders using discount codes;
-
Any other promotion unless expressly permitted.
-

Points may expire or be removed at Bake Friend’s discretion, including in cases of:
-
Account inactivity;
-
Suspected fraud;
-
Breach of these Terms.
-
-
Bake Friend may amend how points are earned, calculated, redeemed or valued at any time.
Points are promotional in nature and do not constitute stored value, electronic money, or property rights.
13. Prohibited Use
Users must not:
-
Use the App unlawfully
-
Upload harmful code
-
Harvest data
-
Misrepresent identity
-
Conduct transactions outside the App
-
Upload fraudulent documentation
14. Platform Liability Protections
United States:
Bake Friend is an interactive computer service provider under 47 U.S.C. §230 and is not responsible for user-generated content.
European Union:
Bake Friend acts as a hosting intermediary under the Digital Services Act.
United Kingdom & Canada:
Bake Friend is a neutral intermediary platform and is not liable for user-generated content unless required by law.
15. Limitation of Liability
To the fullest extent permitted by law:
Bake Friend’s total aggregate liability shall not exceed the total processing fees paid by the User in the preceding 12 months.
We are not liable for indirect, incidental or consequential losses.
16. Updates & Suspension
We may update, suspend or withdraw the App for operational, security or regulatory reasons.
We may terminate access if:

Terms are breached
-
Fraud is suspected
-
Regulatory risk arises
-
Required by law
Upon termination:
-
All rights cease
-
You must delete the App
-
We may disable access remotely
17. Force Majeure
We are not liable for delay or failure caused by events beyond reasonable control including natural disasters, war, epidemic, telecom failures or transport disruption.
18. Complaints & Dispute Resolution
Complaints must first be submitted to Bake Friend.
If unresolved, UK disputes may be referred within 12 months to:

US & Canada Users agree to binding arbitration to the extent permitted by law and waive class action rights where legally permissible.
19. Marketing Consent
By agreeing to these Terms, you consent to receive marketing communications.
You may unsubscribe at any time.
20. Governing Law
UK & EU Users: Laws of England & Wales.
US Users: Subject to mandatory state consumer protection laws.
Canada Users: Subject to mandatory provincial consumer protection laws.
